Vesta Planning Limited - Service Agreement


A. Engagement Scope

All consulting/Odoo implementation/on-site engineer services ("Services") require a signed Statement of Work (SOW) detailing: 

- Deliverables timeline 

- Acceptance criteria 

- Service fees (MOP) 


B. Payment Terms

- 50% deposit upon SOW signing 

- Balance within 14 days of completion 

- Late payments incur 1.5% monthly interest 


C. Intellectual Property

- Pre-existing IP remains owner's property 

- Newly developed code/docs transfer upon full payment 


D. Termination

- Either party may terminate with 30 days written notice 

- Client pays for completed work + termination fees (15%) 


E. Governing Law

- Governed by Macao SAR Law

- Dispute resolution: Macao Court of First Instance

B. Data Sharing

- Never sold to third parties 

- Limited disclosure to: 

    - Odoo S.A. (for ERP implementations) 

    - Certification authorities (engineer verification) 

    - Macao regulators (when legally mandated) 


C. Data Security

- Encryption: AES-256 for data at rest 

- Access control: Biometric authentication 

- Breach response: Notification within 72h 


D. Your Rights

- Access/rectify personal data 

- Request deletion (non-regulatory data) 

- Opt-out of marketing (unsubscribe link) 


E. Cross-Border Transfers

- Zhuhai servers comply with Macao-Zhuhai Data Transfer Protocol

- EU data processed under Standard Contractual Clauses

Critical Limitations of Liability


A. Service Limitations

- Odoo implementation success depends on: 

    ✓ Client-provided data accuracy 

    ✓ Timely stakeholder cooperation 

    ✓ Third-party API stability 


B. Regulatory Compliance

- While we design systems to meet DICJ/GLI standards, ultimate compliance responsibility rests with the client 


C. Financial Caps

- Maximum liability = 125% of fees paid for the relevant project 

- Excluded damages: 

    ✗ Indirect losses (e.g. profit interruption) 

    ✗ Client negligence (e.g. unapproved system changes) 


D. Third-Party Links

- External websites (e.g. Odoo documentation) operate under their own policies 


E. Warranty

- Services provided "as-is" 

- Bug fixes covered for 90 days post-implementation
